License Agreement
This End-User License Agreement (“Agreement”) is between you (or your organisation, “you”) and Chengdu Jiahejing Technology Co., Ltd. (成都嘉合靖科技有限公司), a company incorporated in the People’s Republic of China and registered in Chengdu, Sichuan (“we”), and governs the Octarq Pro and Elite software (“Licensed Software”). The open-source octarq core is separately licensed under the MIT License and is not covered here.

1. Grant of license
Section titled “1. Grant of license”Subject to your payment and compliance, we grant you a non-exclusive, non-transferable, worldwide license to install and run the Licensed Software for your own business or that of your organization, for as long as your license is valid (per your plan’s term).
2. License key
Section titled “2. License key”Your license is unlocked by a signed key tied to your email and tier. The key is for your organization’s use. You will not share, publish, or resell it.
3. Restrictions
Section titled “3. Restrictions”You may not: (a) redistribute, sublicense, sell, or host the Licensed Software as a service for third parties; (b) remove or circumvent the licensing mechanism; (c) reverse engineer except to the extent that restriction is prohibited by law.
4. Self-hosting & your data
Section titled “4. Self-hosting & your data”You install and operate the Licensed Software on your own infrastructure. You are solely responsible for your deployment, security, and data. We have no access to your instance or its data.
5. AI features (Elite)
Section titled “5. AI features (Elite)”Elite AI features use your own third-party model provider via your API key. Your use of that provider is governed by the provider’s terms, we are not responsible for it, and we do not mark up inference — your provider bills you directly.
In a self-hosted deployment the key never leaves your instance. (On Octarq Cloud, which this Agreement does not cover, we hold the key encrypted in order to make the calls you ask for — see the Cloud Service Terms.)
6. Updates
Section titled “6. Updates”Your license entitles you to updates released during your active term. We may change the Licensed Software’s features over time.
7. Termination
Section titled “7. Termination”This license ends if your subscription lapses or you breach this Agreement. On termination you must stop using the Licensed Software; the open-source core remains available under MIT.
8. Warranty & liability
Section titled “8. Warranty & liability”The Licensed Software is provided “as is”. Our warranty disclaimer and liability cap in the Terms of Service apply to this Agreement.
9. Governing law
Section titled “9. Governing law”This Agreement is governed by the laws of the People’s Republic of China, and the courts of Chengdu, Sichuan have jurisdiction over disputes arising from it. This does not remove any mandatory rights you have under the consumer protection law of your own country of residence.
